1. Agreement to these terms
Orbin (the “Service”) is operated by ValidPixel, LLC (“ValidPixel,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of Michigan, United States. By creating an account, accessing, or using the Service, you agree to be bound by these Terms of Service (the “Terms”). If you are using Orbin on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
If you do not agree to these Terms, do not use the Service.
2. Eligibility and accounts
You must be at least 18 years old to use Orbin. You are responsible for the information you provide, for maintaining the confidentiality of your credentials, and for all activity that occurs under your account. Notify us promptly at support@orbin.io if you suspect unauthorized use.
3. The Service
Orbin is a social media management platform that helps you plan, generate, schedule, publish, and measure content across connected social networks, with the assistance of artificial intelligence. We may add, change, or remove features over time. We may also set usage limits (such as connected profiles, scheduled posts, or AI credits) based on your plan.
4. Free trials, plans, and billing
- Free trial. Paid plans may begin with a 14-day free trial. You may cancel before the trial ends without charge.
- Subscriptions. Paid plans are billed in advance on a recurring monthly or annual basis through our payment processor. Subscriptions renew automatically until cancelled.
- Changes. You can upgrade or downgrade at any time; changes are prorated on your next invoice. We may change prices with reasonable notice, effective on your next billing cycle.
- Cancellation. You may cancel at any time from your billing settings. Except where required by law, payments are non-refundable, and access continues until the end of the current billing period.
5. Acceptable use
You agree not to use Orbin to:
- violate any law or the terms, policies, or rate limits of any connected social network;
- post spam, malware, or unlawful, infringing, deceptive, or harmful content;
- impersonate others or misrepresent your affiliation;
- attempt to gain unauthorized access to the Service or its systems, or interfere with its operation;
- reverse engineer or resell the Service except as permitted by law.
We may suspend or terminate accounts that violate this section.
6. Connected social networks
Orbin connects to third-party platforms such as Facebook, Instagram, X, and LinkedIn through their official APIs and your authorization. Your use of those platforms remains subject to their own terms. We are not responsible for changes, outages, or policy decisions of any third-party platform, including changes that affect publishing or analytics. You are responsible for having the rights and permissions to manage the accounts you connect.
7. AI-generated content
Orbin uses AI models, including models provided by Anthropic, to generate and improve content. AI output may be inaccurate or unsuitable, and you are responsible for reviewing, editing, and approving anything you publish. You must not represent AI-assisted content in a way that violates applicable law or platform rules.
8. Your content
You retain all rights to the content you create, upload, or publish through Orbin (“Your Content”). You grant us a limited, non-exclusive license to host, process, and transmit Your Content solely to operate and provide the Service — for example, to schedule a post and deliver it to a connected network on your behalf.
9. Intellectual property
The Service, including its software, design, and trademarks, is owned by ValidPixel, LLC and its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or if we reasonably believe your use poses a risk. Upon termination, your right to use the Service ends, and we may delete your data in accordance with our Privacy Policy.
11. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any AI output or engagement prediction will be accurate.
12. Limitation of liability
To the maximum extent permitted by law, ValidPixel, LLC and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.
13. Indemnification
You agree to indemnify and hold harmless ValidPixel, LLC from any claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or any third-party rights.
14. Governing law
These Terms are governed by the laws of the State of Michigan, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Michigan for any dispute that is not subject to arbitration or small-claims resolution.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Your continued use after changes take effect constitutes acceptance of the revised Terms.
